This agreement governs use of Claude MCP (the “Application”), a private software integration operated by ZINA COSMETIC CLINIC INC (“we”, “us”) to connect our own QuickBooks Online company file to internal analysis and bookkeeping tools. The Application is not offered to the public, not listed on the Intuit App Store, and not made available to any third party.

Acceptance

By installing, configuring, authorising, or using the Application, you agree to these terms. If you do not agree, do not use the Application and revoke any authorisation you have granted it.

Who may use the Application

Use is limited to ZINA COSMETIC CLINIC INC and personnel we expressly authorise. The Application connects to a single QuickBooks Online company that we own and control. It is not multi-tenant software, has no user accounts, no registration, and no public interface.

What the Application does

The Application runs locally on a computer we control. It authenticates to the Intuit QuickBooks Online API using OAuth 2.0 and exposes QuickBooks records to an AI assistant so that authorised personnel can ask questions about, and where permitted make changes to, our own accounting data.

Depending on configuration, the Application can read records, create them, update them, and delete them. Categories of write access can be disabled independently, and read access can be run on its own.

Licence

Subject to these terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the Application for internal business purposes only, for as long as you remain authorised.

Restrictions

You may not:

use the Application to access any QuickBooks company we do not own or control;
make the Application, or access to it, available to any third party;
use it to provide a service to others, whether or not for a fee;
share, publish, or export the OAuth client credentials or tokens it uses;
use it in a way that breaches the Intuit Developer Terms of Service or applicable law.

Third-party services

The Application depends on services we do not operate. Your use of it is also subject to their terms:

We are not responsible for the availability, accuracy, or conduct of these services.

Your data

How the Application handles information is described in our Privacy Policy, which forms part of this agreement.

Intellectual property

The Application is built on the open-source QuickBooks Online MCP Server published by Intuit under the MIT Licence, together with our own configuration. The upstream project remains the property of its authors and is used under that licence. Nothing here transfers ownership of Intuit trademarks, the QuickBooks name, or any third-party software.

No warranty

The Application is provided “as is”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

It is not accounting, tax, audit, or legal advice. Output generated by an AI assistant may be incomplete or wrong. Verify anything you intend to rely on against the underlying records, and consult a qualified professional before filing, reporting, or making a financial decision.

Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Application — including data that is altered or deleted through its write-enabled tools.

Nothing in this agreement excludes liability that cannot lawfully be excluded.

Term and termination

This agreement applies while you use the Application. We may suspend or terminate access at any time. You may end it by disconnecting the Application in QuickBooks Online under Settings → Apps → Connected Apps and deleting the local credentials. Clauses 8 through 10 survive termination.

Changes

We may revise these terms. The effective date above shows the current version, and continued use after a revision constitutes acceptance.

Governing law

This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply in it, without regard to conflict-of-laws rules.
